Ben Jorgensen, ( ) CEO and founder of Constellation (DAG), finally breaks down what’s been happening behind closed doors for the past year. DAG is being acquired by AI Holdings (AI Squared), a Dallas-based family office run by John Rochon, who has done roughly 350 M&A deals and flipped leveraged buyouts worth tens of millions into multibillion-dollar returns. The company filed its public S-1 earlier this year. Valuation sits at $170 million. Twenty-five million dollars in growth capital is committed. One of the first public blockchains is on the way.
This isn’t the kind of acquisition where a company gets absorbed and hollowed out. The structure is closer to Berkshire Hathaway — DAG keeps its CEO, its team, and its roadmap, but now has the backing and reach to go after defense, healthcare, oil and gas, and traditional industries that have never touched blockchain.
Ben lays out the real case for where AI and blockchain connect. Not the pitch deck version. Two out of three enterprise CEOs he surveyed won’t let their employees use ChatGPT or Claude because there’s no auditability trail. That’s the actual problem Constellation is building for. AI agents need on-chain identity verification. Someone has to check the work of the machines checking the work of other machines. Blockchain is that layer.

Mid-market companies are moving faster than Oracle and the other giants that spent years in an engineer-hiring arms race and now can’t innovate their way out of their own org charts. One senior engineer with AI agents is outrunning a team of fifty. The cost structure is gone. The bloat stays.
